⚖️ Terms of Use & NFT Licensing Agreement

Welcome to the official website of LANA TELE Records (hereinafter “Label”, “we”, “our” or “us”). These Terms of Use (“Terms”) govern your access to and use of the website lanatele.com (the “Site”), the purchase of any NFT license (Silver, Gold, VIP), and the licensing of the “HOLO SHOW CODE” holographic techno‑trance performance.

1. NFT Licensing – Three Tiers

The Label offers three distinct commercial licenses through the Polygon blockchain via OpenSea. Each license corresponds to one NFT (non‑fungible token) and grants specific usage rights for the “HOLO SHOW CODE” immersive performance.

All licenses are one‑time use only and strictly tied to the NFT holder. Resale of the NFT does not automatically transfer the performance license unless approved in writing by the Label.

2. Intellectual Property & Usage Restrictions

All content provided under the HOLO SHOW CODE – including but not limited to audio tracks (142–152 BPM, STEM files), 3D/4K holographic animations, show scripts, choreography, LED suit designs, and promotional assets – is the exclusive intellectual property of LANA TELE Records and its author Svetlana Abalymova (LANA TELE).

3. Payment, Smart Contract & Returns

All payments are processed through the OpenSea marketplace using cryptocurrency (MATIC / ETH). Because the purchased NFT constitutes a transfer of usage rights immediately upon payment, no refunds or exchanges are possible. This policy aligns with the digital nature of the asset.

4. Revenue Share & Reporting (Gold / VIP Packages)

For Gold and VIP licensees, the Label is entitled to 5% of the gross touring income generated by the licensed show for a period of 3 (three) years after the purchase date. The Licensee undertakes to send a quarterly revenue report to info@lanatele.com.

5. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of Spain, with exclusive jurisdiction in the courts of Santa Cruz de Tenerife, Canary Islands. The parties agree that any dispute shall first be attempted to be resolved through amicable negotiation (15 days). If unresolved, the dispute will be submitted to binding arbitration.

Jurisdictional note: The Canary Islands offer a favourable tax framework (REF), which applies to all NFT royalties and licensing income derived from this agreement.

6. DMCA / Anti‑Piracy Warning

All audio and visual content is protected under the EUCD (Art. 13) and Spanish Intellectual Property Law. Any unauthorised reproduction, distribution, or public performance will result in civil penalties of up to €50,000 and criminal prosecution.
